The opportunity in the middle: why mid-market commercial real estate deserves more attention

    Why the middle gets overlooked

Big institutional deals draw the headlines. A trophy office tower in a gateway city or a billion-dollar mixed-use development gets covered in trade press and talked about at conferences. Mid-market commercial real estate, projects in the tens of millions rather than the hundreds of millions, rarely gets that attention. It is too large for a single local investor to handle alone, and too small to interest the biggest institutional funds that need to place large amounts of capital quickly.

That gap in attention does not mean a gap in opportunity. It often means the opposite. Mid-market deals see less competition for capital, which can mean better pricing and terms for investors willing to do the work.

    What counts as mid-market

There is no single line that separates mid-market from small or large commercial real estate, and the number shifts by asset type and by market. A useful way to think about it is by who else is looking at the deal. If the buyer pool includes local operators, regional funds, and family offices, but not the largest national institutions, that deal is probably mid-market.

This range includes a lot of the properties that make up everyday commercial life: neighborhood retail centers, mid-size industrial buildings, garden-style apartment communities, and smaller office buildings outside central business districts. None of these are glamorous. All of them are necessary.

Why fewer buyers chase these deals

A few structural reasons keep large investors away from mid-market deals, even when the fundamentals are sound.

First, deal size does not scale efficiently for a large fund. The due diligence, underwriting, and legal work required for a $20 million deal is not much less than for a $200 million deal, but the fund earns a tenth of the return on capital deployed. Large investors would rather do fewer, bigger deals.

Second, mid-market properties often sit in secondary markets or in less prominent submarkets within major metros. That can mean less name recognition, which matters to institutions that answer to boards or public reporting requirements.

Third, many mid-market deals are still owned and operated by local or regional players who know their market well but do not have relationships with the largest capital sources. That mismatch keeps some good properties out of national deal flow entirely.

What this means for smaller investors and operators

For an investor with real capital but not billions to deploy, the middle of the market can be the most productive place to spend time. A few practical points worth weighing:

    • Local knowledge counts more here. Because fewer national players compete for these deals, an investor who understands a specific submarket, its employers, its population trends, its zoning quirks, has a real edge.
    • Relationships often matter more than scale. Many mid-market sellers prefer working with a buyer who will close reliably and treat them fairly over one offering the highest headline price.
    • Financing looks different. Regional banks, credit unions, and private lenders play a bigger role in this space than the large national lenders that dominate mega-deals. David Rocker, managing partner of NYSA Capital LLC, works in commercial real estate finance and capital markets, and firms in that space are often the ones best positioned to structure financing for deals of this size, where a one-size-fits-all approach from a large lender does not fit well.

Common mistakes when evaluating mid-market deals

A few patterns show up repeatedly among investors newer to this segment:

Assuming a smaller deal means simpler underwriting. It does not. A 40-unit apartment building has as many moving parts as a 400-unit one, just at smaller scale. Skipping steps because the deal feels manageable is a mistake.

Underestimating operating intensity. Mid-market properties often need more hands-on management than large institutional assets, which come with dedicated property management infrastructure already built in.

Ignoring exit liquidity. A mid-market property sold to a mid-market buyer pool can take longer to sell than a trophy asset with dozens of interested institutions. Investors should plan hold periods with that in mind.

Where the middle fits in a larger strategy

Mid-market commercial real estate is not a substitute for larger institutional-grade investing, and it is not meant to be. It is a different segment with its own supply and demand dynamics, its own financing sources, and its own risk profile. David Rocker’s work in commercial real estate finance touches on structures that apply across deal sizes, but the specific dynamics of the middle market, the smaller buyer pool, the more local financing relationships, the closer operator involvement, reward investors who take the time to understand them on their own terms rather than treating them as smaller versions of the big deals everyone else is chasing.

For investors willing to do that work, the middle of the market remains one of the more underexplored parts of commercial real estate. That is unlikely to change soon, since the structural reasons keeping larger capital away are not going anywhere. David Rocker‘s background suggests the segment rewards patience and local knowledge more than scale alone.
